Terms & Conditions of Purchase

These Terms & Conditions govern all vehicle inspection services provided by Exclusev LLC, doing business as A1 Auto Guys (“A1 Auto Guys”, “we”, “us”, or “our”), including inspections booked through our website or payment platforms.

1. Agreement & Eligibility

By visiting our website, placing an order, or otherwise using our services, you agree to be bound by these Terms & Conditions. If you do not agree, you must not order an inspection or use our services.

You represent that you are at least 18 years old and legally able to enter into binding contracts. These rights and obligations are personal to you and may not be assigned or transferred without our written consent.

2. Nature & Scope of Inspections

When you order an inspection from A1 Auto Guys, you are hiring us to perform a limited, visual, non-invasive evaluation of a used vehicle’s apparent condition at the time of inspection. Our inspectors:

  • Do not disassemble or remove parts of the vehicle;
  • Do not perform diagnostic scans, emissions tests, or compliance checks;
  • Do not guarantee discovery of prior accidents, flood damage, or frame damage;
  • Assess only what is reasonably visible and accessible at the time of inspection.

The report is a snapshot of observable conditions and cannot guarantee the detection of all issues or predict future performance.

3. Test Drives

Our inspector may attempt a short test drive if:

  • The vehicle appears roadworthy and safe;
  • The vehicle is properly registered and insured; and
  • The seller or owner authorizes the drive.

A test drive is not guaranteed and may be declined or terminated at any time at the inspector’s discretion for safety, legal, or practical reasons. The absence of a test drive does not automatically entitle you to a refund once the inspector has reasonably attempted or evaluated the vehicle.

4. “As-Is” Condition & No Warranty

You understand that most inspected vehicles are used vehicles sold in “as-is” condition. Even after an inspection by A1 Auto Guys:

  • You are purchasing the vehicle “as is,” unless the seller or manufacturer provides a written warranty;
  • The inspection report is not a warranty, guarantee, or insurance policy;
  • We do not guarantee future performance, reliability, or safety;
  • You alone are responsible for the purchase decision and for verifying any existing warranties or insurance.

5. Factors & Hidden Damage

Inspection accuracy may be affected by weather, lighting, vehicle cleanliness, limited access, intermittent issues, recent repairs, or attempts to conceal defects. Some conditions may not be visible, including:

  • Internal engine or transmission problems;
  • Electrical or wiring issues hidden from view;
  • Frame, underbody, or structural damage, especially if covered or repaired;
  • Flood, rust, or corrosion damage in non-visible areas.

6. Your Responsibilities

You are responsible for providing accurate and complete information, including:

  • Vehicle year, make, model, VIN, and location;
  • Correct seller or contact person details;
  • Your accurate email and phone number;
  • Any special concerns you want noted.

If the vehicle is sold, moved, inaccessible, or misrepresented; if the seller refuses access; or if your information is incorrect, A1 Auto Guys may treat the order as completed or apply rescheduling/partial refund at our discretion.

7. Digital Delivery & Report Access

Reports and photos are delivered digitally (e.g., via email link, client portal, or similar). Delivery is considered complete when we send the report or access link to the email or contact information you provided, whether or not you open or view it.

We are not responsible if:

  • Our emails go to spam, junk, or promotions folders;
  • Your inbox is full or your mailbox rejects our messages;
  • You provided an incorrect email address;
  • You fail to log in or access your client portal.

8. Third-Party Hosting & Links

We may use third-party platforms (cloud storage, databases, image hosting, email, payment processors, etc.) to deliver our services. Some links to photos or reports may be temporary and may expire. Outages, downtime, or data loss at those third parties are outside our control.

We recommend downloading or saving copies of your report and photos for your records soon after delivery.

9. Pricing, Payment & Taxes

Fees for inspections are displayed on our website or provided when you book. Unless noted otherwise, prices do not include applicable taxes; any required taxes will be added at checkout. Payment is due in full at the time of booking, and inspections will not be performed until payment is processed.

10. Cancellations, Rescheduling & No-Shows

Once your order is placed, all sales are generally final. If you request changes before the inspector is dispatched, we may allow rescheduling or partial refunds at our discretion. If the inspector is already dispatched, in transit, or on-site and cannot complete the inspection due to reasons outside our control (e.g., vehicle not present, seller denies access, incorrect address), we may treat the order as fulfilled or offer partial relief at our discretion.

11. Inspector Safety & Right to Refuse

We may refuse, stop, or cancel any inspection if the inspector believes the environment is unsafe, the vehicle is not roadworthy, or continuing would violate laws or regulations. In such cases we will decide, in our discretion, whether any portion of your fee will be refunded.

12. No Professional Financial or Legal Advice

Our inspection and report are intended solely to provide observational information about the vehicle’s apparent condition. They do not constitute financial, legal, tax, or insurance advice, and you should obtain advice from your own professional advisors.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALL SERVICES FROM A1 AUTO GUYS ARE PROVIDED ON AN “AS IS, WITH ALL DEFECTS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT.

YOUR SOLE AND EXCLUSIVE REMEDY FOR ANY CLAIM RELATED TO AN INSPECTION OR REPORT IS A REFUND OF THE AMOUNT YOU PAID FOR THAT INSPECTION.

IN NO EVENT SHALL A1 AUTO GUYS, EXCLUSEV LLC, OR THEIR OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF VALUE, OR COST OF SUBSTITUTE VEHICLES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

14. Dispute Resolution & Governing Law

These Terms & Conditions are governed by the laws of the State of New York (without regard to conflicts of law). Except where prohibited by law, disputes related to our services may be resolved through binding arbitration administered by the American Arbitration Association (AAA) in New York, under its applicable rules. Each party generally bears its own costs, subject to the arbitrator’s discretion.

To the extent any claim proceeds in court, you agree to exclusive jurisdiction and venue in the state or federal courts located in New York, and you waive any right to a jury trial.

15. Communications With Inspectors

You agree to communicate through A1 Auto Guys and not directly with inspectors unless we authorize it. Attempting to bypass A1 Auto Guys to hire an inspector directly or remove us from the process may result in cancellation without refund.

16. Intellectual Property

All inspection reports, photos, checklists, and related materials are the intellectual property of A1 Auto Guys and are licensed to you for personal, non-commercial use in evaluating the specific vehicle. You may not resell or republish our content without written consent.

17. State Law Variations & Severability

Some states do not allow certain warranty exclusions or limitations of liability. To the extent such laws apply, parts of these limitations may not apply to you. If any provision is found invalid or unenforceable, the remaining provisions remain in full effect.

18. Changes to These Terms

We may update these Terms & Conditions from time to time. The version in effect at the time of your order applies to that inspection. Your continued use of our services after posting updated terms constitutes acceptance of the changes.

Refund Policy

This Refund Policy explains how A1 Auto Guys (Exclusev LLC) handles refunds for vehicle inspection services. It forms part of our Terms & Conditions of Purchase.

1. All Sales Generally Final

Because inspections require scheduling, travel, and on-site work, all sales are generally final once your order is placed.

2. Before the Inspector Is Dispatched

If you request cancellation or changes before an inspector has been dispatched or has begun traveling, we may, at our sole discretion:

  • Offer to reschedule your inspection for another date/time; or
  • Provide a partial or full refund, depending on costs already incurred.

3. After Dispatch or Arrival On-Site

Once an inspector is dispatched, in transit, or on-site, significant costs have been incurred. If:

  • The vehicle is not present or has been sold/moved;
  • The seller refuses access or will not cooperate;
  • The information you provided (location, contact, vehicle) is incorrect;
  • You decide not to proceed once the inspector is present;

A1 Auto Guys may treat the order as completed or, at our discretion, offer a partial refund or reschedule. In many such cases, no refund will be available due to travel and time already invested.

4. After the Inspection Report Is Delivered

Once the inspection has been performed and your report has been delivered or made available to you (for example via email link or client portal), the inspection service is considered fully rendered. Refunds are not normally provided at that stage.

If you believe the report contains a material inaccuracy, you must contact us within seven (7) days of report delivery at a1autoguys@gmail.com.

Your written request must include:

  • Your full name and contact information;
  • Vehicle details (year, make, model, VIN);
  • Specific sections of the report you contest; and
  • Supporting evidence such as photos, repair invoices, or a mechanic’s diagnosis.

We will review your submission and may, at our discretion, provide clarification, update the report, offer a re-inspection, or offer a partial or full refund. Any refund will not exceed the amount you paid for the inspection.

5. No Guarantee of Outcome

Vehicles are complex and can develop issues at any time, including immediately after the inspection. We cannot guarantee that a vehicle will perform in any particular way after your purchase. Mechanical failures or financial losses after the inspection do not qualify for a refund.

6. How to Request a Review or Refund

To request a review of your situation or potential refund, email a1autoguys@gmail.com with “Refund Request” in the subject line, and include your order details and explanation. We will respond as reasonably soon as possible.

Website Terms of Use

These Website Terms of Use govern your access to and use of the website and any online client portals operated by A1 Auto Guys (Exclusev LLC) (“we”, “us”, or “our”).

1. Use of the Website

You may use our website and client portal solely for lawful purposes and in accordance with these Terms of Use. You agree not to:

  • Use the site in any way that violates applicable laws or regulations;
  • Attempt to gain unauthorized access to any part of the site, accounts, or systems;
  • Interfere with or disrupt site operation or security;
  • Use any automated means (bots, scraping) to access or copy site content without permission;
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity.

2. Accounts & Security

If you create an account or receive login credentials to access a client portal, you are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access or suspected breach of security.

3. Intellectual Property

The website, logo, design, text, graphics, reports, photos, and other content are owned by A1 Auto Guys, Exclusev LLC, or our licensors and are protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the website and your inspection reports for your personal, non-commercial use only.

You may not:

  • Copy, modify, distribute, or publicly display site content without our written consent;
  • Use our trademarks, logos, or branding without authorization;
  • Use our content to create competing services or derivative works.

4. User Content

If you submit any content to us (such as reviews, feedback, or photos), you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display such content in connection with our business, subject to applicable law and our Privacy Policy.

5. No Guarantee of Availability

We do not guarantee that the website or any portion of it will be available at all times or without interruption. We may suspend, withdraw, or modify any part of the site without notice for maintenance, upgrades, or other reasons.

6. Links to Third-Party Sites

Our site may contain links to third-party websites or services. These links are provided for convenience only and do not constitute an endorsement. We are not responsible for the content or practices of third-party sites.

7. Disclaimers & Limitation of Liability

The website and all content are provided on an “as is” and “as available” basis without any warranties of any kind, express or implied. To the fullest extent permitted by law, A1 Auto Guys and Exclusev LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the website, even if advised of the possibility of such damages.

8. Governing Law & Dispute Resolution

Website use is governed by the laws of the State of New York and is subject to the dispute resolution framework described in our Terms & Conditions of Purchase.
